Acceptance of Terms

By creating an account or using our Services, you confirm that:

• You have read and understood these Terms;
• You agree to be bound by these Terms;
• You are at least 18 years old or have the consent of a parent or guardian;
• You have the authority to enter into these Terms on behalf of your business and understand that Nia Booking is for business use only; and
• You will comply with all applicable laws and regulations.

Description of Service

Nia Booking provides online booking and client management software for beauty and wellness businesses. Our Services include:

• Online booking system for clients
• Calendar and appointment management
• Client management and communication tools
• Automated notifications and reminders
• Payment processing integration, and
• Business analytics and reporting.

We reserve the right to modify, suspend, or discontinue any aspect of our Services at any time with or without notice.

Account Registration

To use our Services, you must create an account. When creating an account, you agree to:

• Provide accurate, current, and complete information
• Maintain and promptly update your account information
• Maintain the security of your password and account
• Accept all responsibility for activity that occurs under your account, and
• Notify us immediately of any unauthorized access or security breach.

We reserve the right to suspend or terminate accounts that provide false information or violate these Terms.

Payment Terms

Payments for the Services are processed by our authorized Merchant of Record, Lemon Squeezy (an official Stripe partner). Lemon Squeezy is responsible for payment processing, invoicing, tax calculation, and tax remittance where applicable. Your payment method may display Lemon Squeezy as the merchant on your statement.

Our Services are offered on a subscription basis. By subscribing, you agree to:

• Pay all fees associated with your chosen subscription plan
• Provide valid payment information
• Authorize Lemon Squeezy to charge your payment method on a recurring basis on our behalf
• Subscription fees are non-refundable once a billing period has begun. Cancellations forfeit access to the Services until the end of your last billing period
• If a free trial is offered, you will not be charged until the trial period ends. Unless you cancel before the end of the trial, your subscription will automatically convert to a paid plan, and
• Acknowledge that we may change our pricing with 30 days notice.

You may cancel your subscription at any time. Cancellation will take effect at the end of your last billing period.

Acceptable Use

You agree not to use our Services to:

• Violate any applicable laws or regulations
• Infringe on intellectual property rights
• Transmit harmful or malicious code
• Attempt to gain unauthorized access to our systems
• Interfere with or disrupt the Services
• Use the Services for any illegal or fraudulent purposes
• Harass, abuse, or harm other users, or
• Impersonate any person or entity.

We reserve the right to investigate and take appropriate action against anyone who violates this section.

Intellectual Property

The Services and all related content, including software, text, graphics, logos, and images, are owned by Nia Booking and protected by copyright, trademark, and other intellectual property laws.

You may not copy, modify, distribute, sell, or lease any part of our Services without our prior written permission. You are granted a limited, non-exclusive, non-transferable license to access and use the Services for your business purposes only.

User Content

Nia Booking processes User Content on behalf of the account holder for the purpose of providing the Services. The account holder is responsible for ensuring they have the lawful right to collect and provide such data to us.

You retain ownership of all content, information, and data you upload to the Services (User Content). By uploading User Content, you grant us a license to use, store, and process your User Content solely for the purpose of providing the Services to you.

You represent and warrant that:

• You own or have the necessary rights to your User Content
• Your User Content does not violate any laws or third-party rights, and
• Your User Content does not contain harmful or offensive material.

Termination

You may terminate your account at any time by contacting us or using the account cancellation feature in the Services.

We may suspend or terminate your account and access to the Services immediately, without prior notice, if you:

• Breach these Terms
• Fail to pay fees when due and after a reasonable and communicated deadline
• Engage in fraudulent or illegal activity, or
• Use the Services in a way that could harm us or other users.

Upon termination and cancellation, we may delete your User Content after a reasonable period, unless retention is required by law. It is your responsibility to export your data prior to termination. We may retain certain information as required by law or for legitimate business purposes.

Warranties and Disclaimers

We strive to provide reliable Services, but we provide them "as is" and "as available" without warranties of any kind, either express or implied.

We do not warrant that:

• The Services will be uninterrupted, secure, or error-free
• The Services will meet your specific requirements
• Any errors or defects will be corrected, or
• The Services will be compatible with all devices or software.

You use the Services at your own risk and are responsible for any damage to your computer system or loss of data.

Limitation of Liability

To the maximum extent permitted by law, Nia Booking and its affiliates, officers, employees, and partners shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, use, or goodwill, arising out of or related to your use of the Services.

Our total liability to you for all claims arising out of or related to these Terms or the Services shall not exceed the amount you paid us in the 12 months preceding the claim.

You agree to indemnify and hold harmless Nia Booking, its officers, employees, and partners from any claims, damages, losses, or expenses arising out of:

• your use of the Services
• your violation of these Terms
• your violation of any applicable law, or
• your User Content, including claims by your clients or third parties.

Governing Law

These Terms shall be governed by and construed in accordance with the laws of the Republic of Kenya. Any disputes shall be resolved exclusively in the courts of Kenya.

Changes to Terms

We may update these Terms from time to time. We will notify you of any material changes by posting the new Terms on our website and updating the "Last Updated" date below.

Your continued use of the Services after any changes constitutes your acceptance of the new Terms. If you do not agree to the updated Terms, you must stop using the Services.
